Voyageur Shareholders Overwhelmingly Back Evolve Takeover

Voyageur Shareholders Overwhelmingly Back Evolve Takeover

Voyageur Mineral Explorers Corp., a Canadian junior mineral exploration company, has seen overwhelming shareholder support for its proposed takeover by Evolve Strategic Element Royalties Ltd. The deal, which involves a name change and a move to operate under the Canada Business Corporations Act, has received near-unanimous backing from shareholders of both companies.

The acquisition, set in motion on August 26, 2025, involves a 4:1 consolidation of Voyageur's common shares. An astonishing 99.978% of Voyageur shareholders voted in favor of this special resolution. Additionally, 100% of both Voyageur and Evolve shareholders approved the name change to 'Evolve Royalties Ltd.' and the continuation of Voyageur out of Manitoba, respectively. The takeover remains subject to certain closing conditions, including approval from the Canadian Securities Exchange (CSE).

Voyageur's valuable portfolio of royalties in the Flin Flon greenstone belt, including interests in Foran Mining Corporation's McIlvenna Bay Project and Callinex Mines Inc.'s Pine Bay Project, will transfer to Evolve under the deal. Evolve, a strategic metals royalty company, will gain these valuable assets, further bolstering its portfolio of royalties on various mines and exploration stage royalties.

The takeover, once approved, will see Voyageur shareholders owning approximately 40% of the new entity, Evolve Royalties Ltd. The deal, supported by an overwhelming majority of shareholders, is expected to create a stronger player in the strategic metals royalty sector. However, as with any forward-looking statement, actual results may differ materially from those anticipated.
